ARX Fit, Inc. — Terms of Service

These Terms of Service ("Terms") govern your access to and use of store.arxfit.com (the "Store"), which is owned and operated by ARX Fit, Inc. ("ARX," "we," or "us"). By accessing or using the Store or placing an order, you agree to be bound by these Terms, our Privacy Policy, our Return and Refund Policy, and our Shipping Policy. If you do not agree, do not use the Store. We may update these Terms from time to time by posting the revised version here; continued use after changes are posted means you accept them.

What this Store sells. The Store offers parts, accessories, and upgrades for ARX equipment. Purchases of complete ARX machines, software subscriptions, financing, warranty coverage, and white-glove delivery and installation are not made through this Store and are governed by separate agreements with ARX, including the Master Sales Agreement and its Warranty and Service Agreement (Exhibit A). Nothing in these Terms modifies those agreements.

Eligibility and accounts. You must be at least 18 years old to purchase. If you create an account, you are responsible for maintaining the confidentiality of your password and for all activity under your account, and you agree to provide accurate, current, and complete information.

Orders, pricing, and acceptance. All prices are in U.S. dollars and are subject to change without notice. We strive for accuracy, but product descriptions, images, pricing, and availability may contain errors; we reserve the right to correct errors, limit quantities, refuse or cancel any order, and decline service, including after an order has been submitted. If we cancel an order you have paid for, we will issue a refund. Applicable taxes and shipping charges are calculated and shown at checkout. You are responsible for confirming that the product, quantity, billing information, and shipping address on your order are correct before submitting payment.

Payment. Payment is processed through our third-party payment processor. By submitting an order, you represent that you are authorized to use the payment method provided.

Returns and shipping. Returns, refunds, and shipping are governed by our Return and Refund Policy and our Shipping Policy, which are incorporated into these Terms by reference.

Product use and no warranty for store items. Parts, accessories, and upgrades purchased through the Store are provided "as is" except for any warranty that may apply under your separate Master Sales Agreement and Warranty and Service Agreement. Installation of parts and accessories is the customer's responsibility unless ARX expressly states otherwise in writing. You are responsible for installing and using items safely and correctly; if you are unsure, contact ARX support before installing.

Intellectual property. The Store and all content on it — including text, graphics, logos, images, and the ARX and Adaptive Resistance™ marks — are owned by or licensed to ARX and are protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from Store content without our prior written permission, except that you may download or print individual pages for your personal, non-commercial use while keeping all proprietary notices intact.

Disclaimers. To the fullest extent permitted by law, the Store and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Store will be uninterrupted, secure, or error-free.

Limitation of liability. To the fullest extent permitted by law, ARX and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Store or any products purchased through it. To the extent liability cannot be excluded, our total liability is limited to the amount you paid for the product giving rise to the claim.

Indemnification. You agree to defend, indemnify, and hold harmless ARX and its affiliates and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your misuse of the Store or violation of these Terms.

Governing law and dispute resolution. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Store shall be resolved by binding arbitration in Austin, Texas. If any provision of these Terms is found unlawful or unenforceable, that provision will be severed and the remaining provisions will remain in full effect.

Class action waiver. To the extent permitted by law, you and ARX agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
